In late July – early August 2010 RS Finance Ukraine LLC, part of the Russian-based group of companies affiliated with Bank "Russian Standard" CJSC, consummated the acquisition of an office and business centre with the total area of 3061.6 sq.m., located at 105 Saksahanskogo St., Kyiv, Ukraine. The transaction was structured through an acquisition of shares in Private Industrial Commercial Firm "AMUR", which owns the business centre and underlying land plot of 0.0461 ha. An asset Management Company "Financial Capital" LLC, part of the Ukrainian group of companies "KEROS", acted as the seller. The construction of the office and business centre was completed in the beginning of 2010. The purchaser intends to use the building for offices of its Ukrainian group companies. Settlements under the transaction were structured by granting the irrevocable secured letter of credit by the purchaser.

Vasil Kisil & Partners acted as a sole external legal counsel on the transaction and advised RS Finance Ukraine on various legal issues, including drafting share purchase agreement, drafting and negotiating with the parties all the documents, required for share transfer, negotiating the terms of letter of credit, as well as conducting negotiations between the parties to advance the transaction.
