On August 31, 2009, a visiting session of the Corporate Law Committee of the Ukrainian Bar Association took place in Odesa.

The aim of the event was to discuss the main novelties introduced by the Law of Ukraine “On Joint-Stock Companies”, which came into force three months ago. The participants of the round-table analyzed a number of key issues relating to the application of the new Law, in particular the application of the new Law to existing CJSC and OJSC, bringing their activities in compliance with the requirements of said Law, mandatory listing provision and the problem of minority shareholders – inefficient owners in the course of bringing the activities of OJSC in compliance with the requirements of the new Law.

As Ms Babych put it “some of the inconsistencies of the new Law may be settled only by amending the Law, whereas certain issues arising from the possibility of ambiguous interpretation of some of its provisions may be resolved if the Securities and Stockmarket State Commission issues explanations and/or other by-laws”.
